is currently seeking applications for the following position:

 

INDEPENDENT BOARD DIRECTOR for

WELLAND HYDRO-ELECTRIC SYSTEM CORP.

(Incorporated as an Ontario Business Corporations Act Company (“OBCA”)

           

Welland Hydro-Electric System Corp. (WHESC) distributes safe, reliable electricity to the City of Welland and is regulated by the Ontario Energy Board (“OEB”). WHESC is a subsidiary of Welland Hydro-Electric Holding Corp. (the “Corporation”) and currently consists of six (6) Board Members. The City of Welland, sole Shareholder of WHEHC and its subsidiaries, is seeking to increase the complement of the WHESC Board by one (1) additional (independent) “Private Director” bringing the composition of the Board to seven (7). 

The Board and its various Board Committee meetings are held more frequently during regular business hours; however, they also meet during non-business hours. Board members are required to act in the best interests of the Corporation. No person can be appointed as a Director who has the status of bankrupt, is found to be of unsound mind by a court, or under 18 years of age. Preference will be given to qualified candidates for the Board who are residents of the City of Welland, however non-residents shall not be excluded from serving as a Board member. The position is for a three (3) year term. Qualified candidates must not be: (a) an employee of the City of Welland, Welland Hydro-Electric Holding Corp., or affiliate; and (b) a current City of Welland municipal board member. 

To qualify for a Director position for the above noted vacancy, the ideal candidate will possess, in addition to sound judgement and personal integrity, a combination of the following criteria: 

  • Business expertise;
  • Experience on boards of corporations or other organizations;
  • Strong objective, analytical and interpersonal skills;
  • Knowledge and experience with risk management strategy;
  • Experience as a member of a senior management team in a related field, in the service industry, or educational institution. 

The following attributes would be considered an asset: 

  • Professional knowledge of financial, legal, accounting, engineering, employee relations and/or marketing;
  • Regulated energy sector knowledge including, but not limited to, incorporated electric utilities;
  • Corporate Governance working knowledge in an Ontario Business Corporation Act Company;
  • Experience in risk management with a particular focus on cybersecurity and privacy;
  • Electrical power system experience with a focus on asset management;
  • Demonstrated community involvement. 

Board members receive compensation in accordance with the Shareholder Declaration. 

The Committee anticipates that an appointment for the position will be filled by the end of June 2024.
