Public Call for Board of Director Applications

Centre Wellington Hydro Ltd. is seeking an individual with community interest and governance abilities to serve as an active member on the Board of Directors. We are a progressive utility looking for an incumbent that supports our ongoing commitment to customer and operational excellence while working within the OBCA and OEB regulations.

Solely owned by the Township of Centre Wellington, Centre Wellington Hydro Ltd. is a private Local Distribution Company servicing over 8,000 customers in the urban communities of Elora and Fergus.

Members of the Board of Directors are responsible for governing risk, reviewing corporate policies and confirming effective systems are in place to ensure the integrity of corporate internal controls. Directors are also accountable for the monitoring and oversight of the organization’s performance goals and ensuring financial accountability.

Preference will be given to candidates with experience in the Electricity Sector with Regulatory and Finance expertise, and independence of any Township of Centre Wellington affiliations.

Primary Obligations

  • Support the mission, vision and values of Centre Wellington Hydro Ltd.
  • Attend Board of Directors meetings and be prepared for decision-making by reviewing all relevant materials prior to meetings
  • Involvement in Board Committees and applicable meetings
  • Participate in the development of the company’s strategic goals and objectives
  • Participate in Board training and orientation programs

Desired Qualifications

The successful candidate must have an established reputation for personal integrity and honesty, and have a demonstrated ability to exercise independent, objective and sound judgement.

To fulfill the requirements of the Board, we are seeking applicants who can demonstrate:

  • Proven corporate experience and Regulatory or Utility sector operational experience is preferred.
  • Understanding of Board Governance Policies and prior Board experience are considered strong assets.
  • Knowledge of current public policy issues, understanding government regulations and the role of a Regulator, preferably in the energy industry.
  • Understanding of the role of the Ontario Energy Board, IESO, and Ministry of Energy would be an asset.
  • Professional experience in areas such as Regulatory, Governance and Finance.
  • A practical understanding of Accounting, Labour Relations, Employment Law, Consumer Relations, Strategic Business Planning and Risk Management.
  • Familiarity for the community.
  • An appreciation for the collective and individual roles and responsibilities of the

Commitment

The term of the position is three years and meetings are generally held once a month in Centre Wellington. This position comes with a time commitment to attend regularly scheduled Board Meetings, as well as time devoted to sub-committees, along with general correspondence and minor follow-up activities outside of meeting times.

Compensation

This role includes an annual stipend plus per-diem payments for meeting attendance, and reimbursement of approved expenses in accordance with Board Policy.
