London Hydro is seeking a qualified Director for its Board to support London Hydro in delivering its purpose and vision. London Hydro is one of the largest electricity distribution utilities in Ontario, with more than 300 full-time employees, an asset base of over $600 million and annual revenues of over $500 million. It operates as an independent, for-profit business corporation, owned solely by the City of London, to which it pays dividends each year. 

DIRECTOR QUALIFICATIONS

The Board is seeking applications from qualified candidates with expertise specifically in engineering, information technology, or legal affairs, as well as in regulated utilities. Preference will be given to candidates with senior executive officer experience in medium to large sized corporations and/or with professional designations, such as PEng, CPA or CDir. Ideal candidates should have knowledge, skills and experience in some or all of the following areas: 

  • Knowledge of corporate governance best practices;
  • Financial and legal knowledge;
  • Understanding of the role of the Ontario Energy Board and other regulatory agencies;
  • A reasonable understanding of audit, accounting, and tax matters;
  • Comprehensive understanding of the core business and objectives of London Hydro;
  • Utility industry knowledge;
  • Strategic planning, including human resource planning;
  • Corporate stewardship and risk management;
  • Information technology and cybersecurity;
  • Experience in a competitive business environment;
  • Awareness of the needs of electric utility customers;
  • Awareness of municipal government and local issues;
  • Experience and knowledge of London industry;
  • Executive-level leadership experience in a corporate setting;
  • Strong leadership, interpersonal, managerial, collaboration, and conflict resolution skills. Integrity in actions and decision-making;
  • Professional and effective oral, written and presentation skills;
  • Experience liaising with external agencies and stakeholders;
  • Previous governance/Board experience.
  • Experience and expertise in economic development. 

Candidates must be at least eighteen (18) years of age, must not be insolvent or bankrupt, and must be a Canadian citizen. Candidates must attest to compliance with these requirements in their application. 

DIRECTOR FUNCTIONS

The Board of Directors for London Hydro is legally responsible for overseeing the corporation’s actions and performance. The Board overseas the corporation’s strategic vision and direction, financial performance, risk management, corporate governance, legal and regulatory compliance, CEO performance, corporate culture and human resources strategy. 

Directors are required to attend scheduled Board meetings (approximately 4-6 meetings/year), the Annual General Meeting, and Committee meetings (Audit, Corporate Governance & Risk Management, Human Resources). Committees meet approximately 4-5 times/year and Board members are generally appointed to two (2) committees. Board members are expected to attend meetings in person at London Hydro’s offices at 111 Horton Street, London whenever possible. However, virtual attendance can be arranged on an exception basis. 

COMPENSATION

Board members receive a monthly stipend, along with individual meeting fees for attending Board and Committee meetings.

The selected candidate must provide character and employment references and consent to background checks, including criminal record, education, employment verification, and social media review. Satisfactory results in all areas are required for the candidate to be recommended to the Shareholder for appointment. 

Following the interview process, the London Hydro Board of Directors will submit their recommendation for the new Board member to the Shareholder (City of London) via the SPPC Committee for their consideration. The SPPC, and thereafter City Council, are responsible for appointing Board members.
